About the register

Corporate and Business Registration Department

Company records in Mauritius are held by the Corporate and Business Registration Department (CBRD), a government office under the aegis of the Ministry of Finance, based at One Cathedral Square in Port Louis. The department administers the Companies Act 2001 together with the Business Registration Act 2002, the Foundations Act 2012, the Limited Partnerships Act 2011, the Limited Liability Partnerships Act 2016, the Protected Cell Company Act and the Insolvency Act 2009. It incorporates companies, registers businesses, foundations, sociétés and partnerships, provides copies of documents from a centralised source of information, and offers a free online company search through its portal.

Filings keep the company file current. Financial statements or a financial summary must be submitted every year, prepared within six months of the balance sheet date, and an annual return must be filed with the Registrar within 28 days of the company's annual meeting where one is due; any change in shareholding or in the composition of the board triggers an annual return regardless of turnover. Changes of directors or secretary are notified within 28 days, and beneficial ownership entries must be filed with the Registrar within 14 days of an entry or alteration in the share register.

On request, the Registrar issues an extract of file, a certificate of incorporation and a certificate of current standing, normally within three working days of payment.
