About the register

Known locally as Registre du Commerce et des Sociétés (RCS), Ministère de la Justice.

Company registration in Madagascar rests on the Registre du Commerce et des Sociétés (RCS). Law 99-025 of 19 August 1999 on business transparency divides it into a local register kept at the greffe of each Tribunal de Première Instance and a national register kept at the Ministry of Justice, which centralises a second original of every local register. Every trader, every commercial company or economic interest grouping with its seat in Madagascar, every foreign company with an establishment there and the other legal persons named by law must be registered, and the entries and the deeds lodged with them are placed on the register to be brought to the knowledge of the public. The Ministry of Justice publishes the information gathered from the local registers through its RNCS-CM portal, which describes the RCS as a tool for business transparency, accessible to all.

Under Law 2003-036 of 30 January 2004 on commercial companies, every company other than a société en participation must be registered in the RCS, and a company acquires legal personality only from the date of its registration. Formalities for a new company pass through the one-stop shop of the Economic Development Board of Madagascar (EDBM), which groups the three administrations a company must register with: the tax centre of the Direction Générale des Impôts, which issues the tax identification number (NIF), the national statistics institute INSTAT, which issues the statistical card, and the RCS at the Tribunal de Première Instance with territorial competence for the registered office.

For each company the register's alphabetical file records the legal form, the name, the activity, the address of the registered office, the capital, the names of the partners of partnerships and the names of the company officers; an annexed file holds the deeds and documents the company is required to lodge, including its articles. The RCS extract is issued by the greffe of the Tribunal de Première Instance where the company is registered, and the Ministry's portal states that, for the time being, extracts are obtained only at the greffe. The portal's directory lists which local registers are computerised and which are not.

Which register holds companies in Madagascar?
The Registre du Commerce et des Sociétés (RCS). Under Law 99-025 of 1999 it is a local register kept at the greffe of each Tribunal de Première Instance, centralised in a national register at the Ministry of Justice. Every commercial company must be registered there under Law 2003-036 on commercial companies, and legal personality dates from registration.
How is a company in Madagascar identified?
A company registers with three administrations, grouped in the EDBM one-stop shop: the RCS at the competent Tribunal de Première Instance, which gives the RCS registration; the tax centre of the Direction Générale des Impôts, which issues the tax identification number (NIF); and INSTAT, which issues the statistical card. The RCS registration is the one that confers legal personality.
What does the Madagascar registry record hold?
Law 99-025 lists what the register's alphabetical file carries for a company: its legal form and any special legal status, its name, the nature of its activity, the address of its registered office, its capital, the names of the partners of partnerships and the names of the company officers. A separate individual file holds the original registration request and later entries, and an annexed file holds the deeds and documents the company must lodge.
Does the register publish shareholders or beneficial owners?
The law names the partners of partnerships and the company officers among the particulars entered in the register, and the register and the deeds lodged with it are open to the public. It does not provide for a separate register of beneficial owners, so the RCS extract identifies officers and, for partnerships, partners, not beneficial owners.
How do I obtain a registry extract in Madagascar?
From the greffe of the Tribunal de Première Instance where the company is registered. The Ministry of Justice portal for the national register answers, in its own words, that extracts are for the time being obtained only at the greffe of the Tribunal de Première Instance; the portal itself offers company search and a directory of the local registers.
