About the register

Lesotho Ministry of Trade & Industry

Lesotho's company register is an online register operated under the Ministry of Trade & Industry, described on its own site as available to the public 24 hours a day, 7 days a week, for incorporating and maintaining companies and searching for company, director and shareholder details. Registration is handled through the One-Stop Business Facilitation Centre (OBFC), whose companies registry reserves names, examines applications, enters company information in the computerised register, issues certificates of incorporation, records annual reports and manages compliance with the Companies Act. The OBFC's legislation page lists the Companies Act 2011 and the Companies Regulations of 2012.

Searching the register is free. The company search returns shareholdings, directors, addresses, date of incorporation and business activity for internal and external companies, and a certificate of incorporation and an extract of the company information are available online without charge. Core information previously held on paper with the ministry has been migrated into the online system, and manual lodgement remains possible at the OBFC. The Companies Act provides for public companies, private companies of not more than 50 members, non-profit companies and the registration of external companies.

The register files and publishes registered shareholders; the official sources consulted make no provision for a separate register of beneficial owners. The Company Records report resolves beneficial ownership by following registered shareholders up the ownership chain from official filings, and includes the certificate of incorporation and the registry extract sourced from the official register.
