About the register

Commercial Registry

Known locally as Registro Mercantil.

Spain's official company register is the Registro Mercantil (Commercial Registry), a public institution under the Ministry of Justice. It is kept by commercial registrars, legal professionals exercising a public function, whose professional body is the Colegio de Registradores de la Propiedad y Mercantiles de España (CORPME); interactive registry information is served through the Colegio's portal. The register runs on a personal-sheet system: each company has its own registry sheet (hoja registral) on which its legal history is entered, from incorporation through capital increases and reductions, changes to the governing body, appointments and removals of directors, and insolvency situations. Companies also deposit their approved annual accounts at the Registro Mercantil within the month following approval.

Two national instruments complete the picture. The Registro Mercantil Central centralises data received from the local registries for informative publicity and clears company names for new incorporations. Registered acts are then published in the BORME (Boletín Oficial del Registro Mercantil), the official commercial registry gazette published on working days by the State Agency for the Official State Gazette; registered acts become enforceable against third parties on publication.

Registry information is issued in two forms: the nota simple, an informative extract, and the certificación, which is the only means of authentically evidencing the entries. The Company Records report for Spain provides a registry extract sourced from the Colegio de Registradores.

What is a nota simple from the Registro Mercantil?
A nota simple is an informative extract of a company's entries in the Registro Mercantil. It is purely informative and is not an authentic representation of the content of the entry; the certificación, issued by the registrar, is the only means of authentically evidencing registry entries. The Company Records report for Spain provides a registry extract sourced from the official register.
What is the hoja registral?
The Registro Mercantil is kept on a personal-sheet system, set out in the Commercial Registry Regulation (Real Decreto 1784/1996). Each company has its own sheet, the hoja registral, on which every registrable act concerning it is entered in sequence: incorporation, capital changes, changes to the governing body, directors' appointments and removals, and insolvency situations. Reading the sheet gives the company's registered legal history in one place.
Is a Spanish NIF the same as a Registro Mercantil number?
No. The NIF (número de identificación fiscal) is a nine-character tax identification code assigned by the Spanish Tax Agency, with a first letter that indicates the entity's legal form, and it stays with the entity through later changes. Registration in the Registro Mercantil is separate: the company's registered details live on its registry sheet, and companies are commonly identified by their NIF in commercial dealings.
What is BORME?
BORME, the Boletín Oficial del Registro Mercantil, is Spain's official commercial registry gazette, published on working days by the State Agency for the Official State Gazette. It publishes acts registered at the commercial registries, such as incorporations and appointments, and registered acts become enforceable against third parties on publication.
