About the register

Swedish Companies Registration Office

Known locally as Bolagsverket.

Swedish companies are registered with Bolagsverket, the Swedish Companies Registration Office, a government agency seated in Sundsvall. Its Find company information service lets anyone search current details of Swedish companies free of charge, including company status, ongoing cases, the address and registered office, the registration date and any secondary business names. Documents are purchased through the same service: certificates of registration, articles of association, annual reports, minutes and auditors' reports, with several certificates also issued in English, and printed English certificates carry the office's seal, stamp and signature.

Every Swedish limited company must file its annual report (årsredovisning), written in Swedish, with Bolagsverket within seven months of its financial year end. The rule applies to dormant companies and companies in liquidation, late or incomplete filings attract late filing penalties, and Bolagsverket has no legal possibility to defer the deadline. A company may keep its accounting currency in SEK or EUR, stated in its articles of association.

Bolagsverket also keeps Sweden's beneficial ownership register, created under the EU anti-money-laundering framework. Around 800,000 companies and associations must register beneficial ownership information, newly registered ones within four weeks of their registration date, and information from that register can be purchased through Find company information. Shareholder lists, by contrast, are not among the information Bolagsverket offers, so day-to-day shareholdings are not part of the public record there.

What exactly is a "Company Record"?
Two things in one purchase: the KYB report (company data and controlling parties — this register does not publish shareholders or beneficial owners) and the standard set of official registry documents needed for AML and KYB compliance.
Can I get additional filing documents?
Every record includes the standard document set for AML and KYB compliance. The official register holds further filings — listed above under "Available separately" — and if you need one beyond the standard set, contact us and we'll arrange it.
Does the record include shareholders and beneficial owners?
The official register does not make shareholder or beneficial-owner data public, so a record cannot include what the register does not publish. The company particulars and controlling parties it does hold are included.
How current is the information?
It is retrieved from the register at the time of purchase, so it reflects the register's current state — not a cached copy.
Do I need a subscription or a contract?

Does Bolagsverket show the shareholders of a Swedish company?
No. Shareholder lists are not among the company information or documents Bolagsverket sells through its Find company information service, which covers items such as certificates of registration, articles of association, annual reports, share capital and the persons registered in the company. The Company Records report for Sweden accordingly provides the Register Report and the Memorandum & Articles of Association, not shareholder or beneficial ownership data.
What is an årsredovisning?
It is the annual report every Swedish limited company must file with Bolagsverket within seven months of its financial year end, written in Swedish and required even for dormant companies and companies in liquidation. Late or incomplete filings attract late filing penalties, and Bolagsverket cannot defer the filing date. Registered annual reports can be purchased as documents through the Find company information service.
Is beneficial ownership information public in Sweden?
Sweden's beneficial ownership register is kept by Bolagsverket under the EU anti-money-laundering framework, and most Swedish companies and associations must register their beneficial owners, within four weeks of registration for new entities. Information from the beneficial ownership register is sold as a document through the Find company information service, in both the Swedish-language and English-language document lists.
Which English-language certificates does Bolagsverket issue?
Bolagsverket sells certificates of registration, certificates of good standing, articles of association with certificate and memorandum of association with certificate in English, alongside English certificates for changes of address and annual reports. Printed English certificates carry the office's seal, stamp and a signature in the original; e-certificates do not. The company's business activities are not translated into English.
