About the register

Securities and Exchange Commission

Philippine corporations and partnerships are registered with the Securities and Exchange Commission (SEC). New registrations run through eSPARC, the Electronic Simplified Processing of Application for Registration of Company, which handles domestic corporations, partnerships and foreign corporations and issues digitally signed certificates of incorporation; its OneSEC lane offers one-day submission and e-registration. Sole proprietors trading under a business name register that name separately with the Department of Trade and Industry through the Business Name Registration System at bnrs.dti.gov.ph.

Copies of a company's SEC records are requested through the SEC Express System, a non-appearance service through which plain or authenticated copies of documents held by the SEC are ordered online. The documents available include the Articles of Incorporation or Articles of Partnership, original and amended, by-laws, the General Information Sheet, audited financial statements, board resolutions and the Registration Data Sheet.

The Company Records report for the Philippines includes a Registry Extract, the Certificate and, for partnership entities, the Articles of Partnership, sourced from the official register.

Good to know

Philippines company records — questions

Are these official records?
Yes. Every record is sourced from the official register, Securities and Exchange Commission and Department of Trade and Industry, at the moment you buy. It is registry data only — nothing aggregated, resold, or editorialised.
What exactly is a "Company Record"?
Two things in one purchase: the KYB report (company data, controlling parties, shareholders and beneficial owners) and the standard set of official registry documents needed for AML and KYB compliance.
Can I get additional filing documents?
Every record includes the standard document set for AML and KYB compliance. The official register holds further filings — listed above under "Available separately" — and if you need one beyond the standard set, contact us and we'll arrange it.
Can I get shareholders and beneficial owners?
Yes. This register publishes shareholder and beneficial-owner data, and the record includes it with the ownership chain resolved. The chain is our own work: registers file shareholdings, not the resolved ownership behind them.
How current is the information?
It is retrieved from the register at the time of purchase, so it reflects the register's current state — not a cached copy.
Do I need a subscription or a contract?
No. Buy a single record with a card. There is no subscription and no minimum.
Who registers companies in the Philippines, the SEC or the DTI?
The Securities and Exchange Commission registers corporations and partnerships, including foreign corporations setting up in the jurisdiction, through its eSPARC platform. The Department of Trade and Industry registers business names used by sole proprietors, through the Business Name Registration System. The Company Records report for the Philippines is sourced from the SEC and DTI registers.
What is the SEC Express System?
It is the SEC's non-appearance application system for requesting documents, integrating an online and contact-centre process so that plain or authenticated copies can be ordered without visiting the SEC. Documents available through it include Articles of Incorporation or Partnership, by-laws, the General Information Sheet, audited financial statements and the Registration Data Sheet.
What is eSPARC?
eSPARC is the SEC's Electronic Simplified Processing of Application for Registration of Company, the platform for registration and licensing applications of domestic corporations, partnerships and foreign corporations. It issues digitally signed certificates of incorporation, and its OneSEC processing lane offers one-day submission and e-registration of companies.
What registry documents exist for a Philippine partnership?
Partnerships are registered with the SEC, and their Articles of Partnership, original and amended, are among the documents held by the commission and orderable as plain or authenticated copies. For partnership entities, the Company Records report for the Philippines includes the Articles of Partnership alongside the Registry Extract and the Certificate.
