About the register

Registrar of Companies

Companies in Sri Lanka are registered with the Department of the Registrar of Companies, established in 1938, which administers the Companies Act No. 7 of 2007 together with other statutes including the Societies Ordinance No. 16 of 1891. The department's eROC platform handles company name search and reservation, incorporation and related registrations online, and a public company name search, matching names that begin with or contain a given term, is available on the eROC site without a login. The department also runs a document verification service.

A company's application for registration is made on Form 1, generated through the eROC system, and every company files an annual return under section 131(1) of the Companies Act on Form 15, or Form 15A for a company limited by guarantee, covering its directors, secretaries, members and shareholding.

Beneficial ownership filing is a separate workflow. Under the Companies (Beneficial Ownership) Regulation No. 1 of 2026, published in Extraordinary Gazette No. 2480/48 of 21 March 2026 following an amendment to the Companies Act, every newly incorporated company must from 30 March 2026 submit beneficial-owner details on Form BO 1 and notify an authorised person on Form BO 5 through the dedicated portal at bo.drc.gov.lk, with existing companies filing through the same system. The registry's guidance describes company and public-authority logins, not general public access to the beneficial ownership register. The Company Records report for Sri Lanka includes the annual return and the Form 1 application for registration sourced from the official register.

Can I get additional filing documents?

Can I get shareholders and beneficial owners?
Yes. This register publishes shareholder and beneficial-owner data, and the record includes it with the ownership chain resolved. The chain is our own work: registers file shareholdings, not the resolved ownership behind them.
How current is the information?
It is retrieved from the register at the time of purchase, so it reflects the register's current state — not a cached copy.
Do I need a subscription or a contract?

What does the Registrar of Companies in Sri Lanka record?
The Department of the Registrar of Companies registers companies under the Companies Act No. 7 of 2007 and holds their statutory filings. The annual return filed under section 131(1) on Form 15 sets out general information about the company, including its directors, secretaries and members with their shareholdings, and Form 15A serves companies limited by guarantee.
Can Sri Lankan company records be searched online?
The eROC platform of the Department of the Registrar of Companies offers a public company name search on its landing page, with begins-with and contains matching, and provides incorporation and other registered services to account holders. The department also operates an online document verification service.
Does Sri Lanka have a beneficial ownership register?
Yes. The Companies (Beneficial Ownership) Regulation No. 1 of 2026 requires every newly incorporated company, from 30 March 2026, to submit beneficial-owner details through the Beneficial Ownership Registry System at bo.drc.gov.lk, with existing companies making initial submissions, updates on share issues and transfers, and annual confirmations. The department's guidance describes logins for companies and for public authorities and does not describe general public access to that register. The Company Records report resolves beneficial ownership by following the registered shareholders up the ownership chain, entity by entity, from official filings.
Which forms cover incorporation and annual filing?
The application for registration of a company is Form 1 and, together with Form 5, is generated through the eROC system rather than downloaded, according to the department's forms page. The annual return is Form 15, with Form 15A for companies limited by guarantee, and both are published as official forms of the department.
