About the register

Companies Office of Jamaica

The Companies Office of Jamaica (COJ) originally formed part of the Registrar General's Department and was established as a separate department in 1975; it now sits under the Ministry of Industry, Investment and Commerce. It registers local and overseas companies, and individuals and firms carrying on business in Jamaica, administering the Companies Act of 2004, as amended, and the Registration of Business Names Act of 1934.

Records are held in computer based databases, and the office's website and portal support company and business name searches, viewing of company information and documents online, certified copies, and letters of good standing and confirmation. Under section 352(1) of the Companies Act, any person may inspect the documents kept by the Registrar on payment of the prescribed fees, and the office states that through its website the public can check an entity's legal status, statutory compliance and ownership.

Beneficial ownership is filed rather than opened to general search. Companies deliver beneficial ownership returns to the Registrar, who maintains a register of beneficial owners under section 377J. Under section 352(1A), that register is not available for inspection under the general provision; it may be inspected by competent authorities, by a procuring entity on written request, and, with the beneficial owner's consent, by financial institutions and designated non-financial institutions. Yes. This register publishes shareholder and beneficial-owner data, and the record includes it with the ownership chain resolved. The chain is our own work: registers file shareholdings, not the resolved ownership behind them.
How current is the information?

What is the Companies Office of Jamaica?
The COJ is the department responsible for registering and regulating companies and businesses in Jamaica. It began as part of the Registrar General's Department, became a separate department in 1975, and now sits under the Ministry of Industry, Investment and Commerce. Under section 352(1) of the Companies Act, any person may inspect the documents kept by the Registrar on payment of the prescribed fees.
Are shareholders of Jamaican companies on the public record?
Yes. Membership and shareholding information is filed with the Registrar, including through annual returns, changes in shareholdings are notified on prescribed forms, and the documents kept by the Registrar are open to inspection by any person on payment of the prescribed fees. The office states that ownership can be checked through its website.
Is beneficial ownership information at the COJ public?
Access is restricted by statute. The Registrar maintains a register of beneficial owners under section 377J of the Companies Act, compiled from beneficial ownership returns, and section 352(1A) removes it from the general inspection provision. It may be inspected by competent authorities, by a procuring entity on written request, and, with the beneficial owner's consent, by financial institutions and designated non-financial institutions.
