About the register

Registry of Corporate Affairs

The Register of Companies for the British Virgin Islands is maintained by the Registry of Corporate Affairs, a division of the BVI Financial Services Commission (FSC). The Registry primarily administers the BVI Business Companies Act, under which business companies are registered, alongside limited partnerships and foreign companies. Filings and transactions run through the FSC's VIRRGIN system, and the FSC operates a centralised public search through which registered entities can be searched and beneficial ownership information can be requested in accordance with applicable legislation.

Information on a registered entity is obtained on request and payment of the requisite fees. A search report for a business company shows the company name and number, company type, incorporation date, status and status date, the current registered agent and its address, the registered office address, share or capital information, previous name history, and the company's transaction and certificate history. From the transaction history, certified or uncertified copies of specific filed documents can be requested, as can certificates of good standing and other entity certificates.

Directors' particulars are filed with the Registry through VIRRGIN but are private by default: they become part of the company's public record only if the company elects to make them public. Under section 118B(4)(b) of the BVI Business Companies Act, a list of a company's directors is nonetheless available from the Registry on request, through VIRRGIN's Request for Certifications function, for a fee of US$75.

Are the directors of a BVI company public?

What is VIRRGIN?
VIRRGIN is the electronic platform of the BVI Financial Services Commission through which the Registry of Corporate Affairs processes incorporations of BVI business companies, registrations of limited partnerships and post-registration filings. Registered agents transact with the Registry through it, and functions such as director filings and certificate requests run on the system.
What is a certificate of good standing for a BVI company?
It is a certificate issued by the Registry of Corporate Affairs confirming a company's standing on the Register of Companies. Certificates of good standing and other entity certificates can be requested through the FSC's public search function on payment of the requisite fees, alongside search reports and public registers; further corporate documents are requested with the Search Request Form (R820).
