About the register

Bermuda Registrar of Companies

Bermuda company records are maintained by the Registrar of Companies, an office within the Ministry of Finance, the Registrar being appointed under section 3 of the Companies Act 1981. All new registrations and subsequent filings for entities are processed through the online Companies and Partnerships Register, which offers entity and reserved-name searches, and certificates can be requested through the same portal. Entities within scope of the economic substance regime file an Economic Substance Declaration annually.

Beneficial ownership moved to a new statutory footing with the Beneficial Ownership Act 2025, in force from 3 November 2025, when the central register of beneficial ownership transferred from the Bermuda Monetary Authority to the Registrar of Companies. Legal persons must identify and verify their beneficial owners, keep a beneficial ownership register available for inspection by the Registrar, and file the information with the Registrar for the central register.

That central register sits apart from the public search. Under Part 5 of the Act, the Registrar may disclose central-register information for the statutory functions of specified bodies, among them the Bermuda Police Service, the Financial Intelligence Agency, the Bermuda Monetary Authority and the tax authorities, and to persons regulated under the anti-money-laundering regulations for customer due diligence and discrepancy reporting, with the Registrar able to restrict or prohibit disclosure. The official register does not make shareholder or beneficial-owner data public, so a record cannot include what the register does not publish. The company particulars and controlling parties it does hold are included.
How current is the information?
It is retrieved from the register at the time of purchase, so it reflects the register's current state — not a cached copy.
