About the register

SIJILAT

Known locally as سجلات.

Bahrain's commercial register is governed by Legislative Decree No. 27 of 2015 Concerning the Commercial Register. Every trader practicing a commercial activity must be registered, from companies under the Commercial Companies Law to branches of foreign companies and commercial sole proprietorships, the latter reserved to Bahraini nationals aged 18 or over. The register is prepared at the concerned directorate of the Ministry of Industry and Commerce, and a registration application records the applicant's name, trade name, legal form, type of activity, share capital, business address and authorized signatories.

Registration runs through Sijilat, the ministry's online commercial registration system, which handles registrations, renewals, amendments and ownership transfers and offers a public search by keyword, activity and governorate. Under Article 17 of the decree, any concerned party may request a copy of the information of a registration, and Article 25 directs the ministry to publish the register information determined by the Implementing Regulation on its website. A certified extract of commercial registration data is issued under Ministerial Resolution No. 126 of 2016.

Under Ministerial Order No. 83 of 2020, all commercial registration holders except those licensed by the Central Bank of Bahrain must disclose their ultimate beneficial owners through Sijilat. The beneficial owner must be a natural person, the criteria include a direct or indirect 10 percent share of capital or voting rights, and the details must be confirmed or updated every year. Who keeps the commercial register in Bahrain?

What information is recorded when a business registers in Bahrain?
A registration application under Article 5 of Legislative Decree No. 27 of 2015 records the applicant's name and proof of identity and address, the trade name, the legal form, the type of activity, the amount of share capital, the address of the place of business and the names of authorized signatories. Changes must be indicated in the register within thirty days, and the trader receives a certificate of registration.
Does Bahrain have a beneficial ownership disclosure requirement?
Yes. Ministerial Order No. 83 of 2020 makes it mandatory for all commercial registration holders, except those licensed by the Central Bank of Bahrain, to disclose their ultimate beneficial owners through the Sijilat portal. The beneficial owner must be a natural person, the criteria include a 10 percent share of capital or voting rights and forms of effective control, the disclosure is valid for one year, and false or delayed disclosure can draw administrative measures.
