About the register

State Register of Commercial Legal Entities (State Tax Service)

Commercial legal entities in Azerbaijan are state-registered by the tax authority. The Ministry of Taxes was reorganised on 23 October 2019 into the State Tax Service under the Ministry of Economy, which now maintains the state register of commercial entities and has operated the one-stop-shop registration system since 1 January 2008. Its services include online registration of commercial legal entities, register information of commercial legal entities, and the history of changes entered in the state register.

The governing statute is the Law on State Registration and State Register of Legal Entities, No. 560-IIQ of 12 December 2003. The state register records an entity's name, legal address, organisational and legal form, taxpayer identification number, founders, legal representatives and, for limited liability and joint-stock companies, the amount of the authorised capital and each founder's capital. Registration applications also carry beneficial-owner information: Article 5-1 of the law defines a beneficial owner starting from a natural person who directly or indirectly ultimately holds 10 percent or more of the authorised capital or voting rights.

Access is governed by Article 18 of the law. Each person has the right to consult the entries in the state register, request an extract and copies of documents submitted for registration, except for information on the founders (participants) of commercial legal entities and their shares in the authorised capital, and on beneficial owners, which the law excludes from that public access. Which authority registers companies in Azerbaijan?
Commercial legal entities are state-registered by the tax authority. The Ministry of Taxes was reorganised on 23 October 2019 into the State Tax Service under the Ministry of Economy of the Republic of Azerbaijan, which maintains the state register of commercial entities and has run the one-stop-shop registration system since 1 January 2008, including electronic registration of limited liability companies with local investment.
What does the Azerbaijani state register record?
Under Article 14 of the Law on State Registration and State Register of Legal Entities, the register records an entity's name, legal address, organisational and legal form, taxpayer identification number, founders, legal representatives, information on liquidation, and, depending on the legal form, the amount of the authorised capital and each founder's capital, together with beneficial-owner information collected at registration.
Are shareholders and beneficial owners of Azerbaijani companies public?
No. Article 18 of the law grants each person the right to consult the state register and request extracts, but excludes information on the founders (participants) of commercial legal entities and their shares in the authorised capital, as well as beneficial owners, from that public access. Beneficial-owner information is provided to the financial monitoring body in the cases prescribed by anti-money-laundering legislation.
Can Azerbaijani register information be checked online?
Yes. The State Tax Service publishes e-services covering register information of commercial legal entities, the history of changes entered in the state register, and information on taxpayers registered for tax purposes, alongside online state registration of commercial legal entities.
