About the register

Electronic Register, Government of Armenia

Legal entities in Armenia are registered by the Agency of the State Register of Legal Entities of the Ministry of Justice, which registers all legal entities in Armenia except financial organisations, together with separate subdivisions, institutions, state bodies and individual entrepreneurs. Registration runs through the electronic register on a one-stop-shop basis, with online services covering individual entrepreneurs, limited liability companies, joint-stock companies, foundations and non-governmental organisations.

The governing law of 3 April 2001 on the state registration of legal persons, restated on 19 March 2012, makes registration fully electronic: entries are held in the State Unified Register and excerpts are issued as electronic documents. The register records an entity's name, state registration number and taxpayer identification number, its founders and participants with each participant's share, the head of its executive body, and its actual beneficiaries; for joint-stock companies, participant and shareholding data are not recorded.

Register information is public, apart from identity-document data, social card numbers, residential addresses and contact details of natural persons. The Agency's website serves a set of data free of charge, including the name, registration date and number, taxpayer identification number, activity code, address, and the names and citizenship of actual beneficiaries; complete information and charter copies are provided on payment of a state duty. Legal persons must file a declaration of their actual beneficiaries within 40 days of registration and keep it current. Yes. This register publishes shareholder and beneficial-owner data, and the record includes it with the ownership chain resolved. The chain is our own work: registers file shareholdings, not the resolved ownership behind them.
How current is the information?
It is retrieved from the register at the time of purchase, so it reflects the register's current state — not a cached copy.

Who operates the state register of legal entities in Armenia?
The Agency of the State Register of Legal Entities, an office operating at the Ministry of Justice of the Republic of Armenia, carries out the state registration of all legal entities except financial organisations, as well as separate subdivisions, institutions, state bodies and individual entrepreneurs. Its electronic register platform supports company search and fully online registration on a one-stop-shop basis.
Is Armenian register information public?
Yes. Information maintained in the State Unified Register is public, except for passport data, social card numbers, residential addresses and contact details of natural persons. A defined set of data, including an entity's name, registration number and date, taxpayer identification number, activity code, address and the names of its actual beneficiaries, is available through the Agency's website free of charge, and complete information and charter copies are provided on payment of a state duty.
How is beneficial ownership handled in the Armenian register?
Legal persons registered in Armenia must submit to the Agency a declaration concerning their actual beneficiaries within 40 days of registration, declare changes within 40 days of becoming known, and confirm annually that the last declaration remains current. The register records the actual beneficiaries, and the first name, last name, citizenship, date of becoming an actual beneficiary and the grounds for that status are among the data available through the Agency's information system without charge.
What does an excerpt from the State Unified Register contain?
The law prescribes a uniform excerpt containing complete information on a legal person, including its name, state registration number and date, entity code, taxpayer identification number, registered office, term of activity, any record of liquidation, and the head of the executive body or other person entitled to represent the entity. Excerpts are prepared as electronic documents, with certified printed copies available on request.
