About the register

Trade and Companies Register

Known locally as Registre de commerce et des sociétés (RCS).

Luxembourg's official company register is the Registre de commerce et des sociétés (RCS), the Trade and Companies Register. It is managed by Luxembourg Business Registers (LBR), an economic interest grouping whose members are the State, the Chamber of Commerce and the Chamber of Skilled Trades and Crafts, operating under the authority of the Minister of Justice. Commercial companies, civil companies, non-profit associations, foundations, cooperatives and other legal entities named by law are registered there, and their articles of association are filed in full or in extract form according to legal form.

Filed instruments are published in RESA (Recueil électronique des sociétés et associations), the electronic gazette that replaced the former Mémorial C, either on the day of filing or on a date chosen by the filer within 15 days. Publication carries the legal weight: instruments only become binding on third parties after they appear in RESA. Annual accounts follow a two-step route: the figures are validated on the eCDF platform, then the accounting package is filed with the RCS, after which the filing notice is published in RESA and the filed statements can be consulted on the RCS website.

Since 2019 LBR has also kept the RBE (Registre des bénéficiaires effectifs), Luxembourg's register of beneficial owners, and entities registered with the RCS must file their beneficial-ownership details there. The Company Records report for Luxembourg includes the registration extract, articles of association, registration certificate and annual accounts.

What exactly is a "Company Record"?

Can I get additional filing documents?
Every record includes the standard document set for AML and KYB compliance. The official register holds further filings — listed above under "Available separately" — and if you need one beyond the standard set, contact us and we'll arrange it.
Can I get shareholders and beneficial owners?
Yes. This register publishes shareholder and beneficial-owner data, and the record includes it with the ownership chain resolved. The chain is our own work: registers file shareholdings, not the resolved ownership behind them.
How current is the information?
It is retrieved from the register at the time of purchase, so it reflects the register's current state — not a cached copy.
Do I need a subscription or a contract?

What is an RCS extract?
An RCS extract sets out the registered particulars of an entity in the Trade and Companies Register: its name, legal form, registered office, corporate purpose and the other information the law requires to be disclosed. It is issued from the register kept by Luxembourg Business Registers. The Company Records report for Luxembourg includes the registration extract together with the articles of association, registration certificate and annual accounts.
What is RESA?
RESA, the Recueil électronique des sociétés et associations, is Luxembourg's electronic official gazette for company information; it replaced the former Mémorial C. Instruments filed with the RCS are published in RESA on the day of filing or on a date chosen by the filer within 15 days. Publication matters legally: instruments only become binding on third parties after they appear in RESA.
How are annual accounts filed in Luxembourg?
Financial statements are validated on the eCDF platform and the accounting package is then filed electronically with the RCS. Capital companies, cooperatives, Luxembourg branches of foreign companies and partnerships above a turnover threshold are among the entities required to file. Once accepted, the filing is published in RESA and the statements can be consulted on the RCS website. Annual accounts are included in the Company Records report for Luxembourg.
What is the Luxembourg RBE?
The RBE (Registre des bénéficiaires effectifs) is Luxembourg's register of beneficial owners, kept since 2019 by Luxembourg Business Registers alongside the RCS. Entities registered with the RCS must file the details of their beneficial owners with the RBE, with limited exemptions such as sole traders.
