About the register

Register Publications, ODPIC

Known locally as Publications Registres, ODPIC.

Djibouti's commercial register is kept by the Office Djiboutien de la Propriété Industrielle et Commerciale (ODPIC), a public establishment of an industrial and commercial character with legal personality and financial autonomy, supervised by the ministry in charge of commerce. ODPIC was created by loi 49/AN/08/6ème L and organised by décret 2009-0271/PR/MCI, which task it with receiving registration declarations for the commercial register, keeping the central commercial register and its alphabetical file for natural and legal persons, and keeping enterprises' legal information up to date.

The Registre de Commerce et des Sociétés (RCS) records the existence, characteristics and evolution of natural and legal persons engaged in commercial activity. Registration is required within one month of an enterprise's constitution, on pain of a fine. The register issues the registration receipt, the modification receipt, the negative certificate for a commercial name or shop sign, and other certificates and copies. Modifications, including changes of legal representative, registered office, corporate purpose, governing bodies, legal form and dissolution, are recorded through acts signed before ODPIC agents and filed in duplicate.

The organising decree presents the publicity of register entries as serving the security and transparency of transactions, and ODPIC publishes registrations and modification acts on its website. The Company Records report for Djibouti includes the registry extract sourced from the official register.
