About the register

Companies and Intellectual Property Authority

The Companies and Intellectual Property Authority (CIPA) registers companies and business names in Botswana. It was established by the Companies and Intellectual Property Authority Act, 2011 (Cap 42:13) as successor to the Registrar of Companies and Intellectual Property (ROCIP), and is a parastatal under the Ministry of Trade and Industry, headed by a Registrar General. CIPA administers the Companies Act (CAP 42:01), which provides for the incorporation of companies, the registration and monitoring of post-incorporation returns and notices and the reservation of company names, together with the Registration of Business Names Act (CAP 42:05), the Industrial Property Act and the Copyright and Neighbouring Rights Act.

Applications and payments are handled through CIPA's Online Business Registration System (OBRS), and CIPA's guidance also covers the re-registration of existing companies and business names on that system.

Beneficial ownership is collected at the register. Under sections 21 and 345 of the Companies (Amendment) Act 2018, in line with the Financial Intelligence Agency Act, those who register companies must provide CIPA with beneficial ownership information, and CIPA is responsible for establishing and maintaining a register of beneficial ownership. A beneficial owner is defined as a natural person who is, directly or indirectly, the ultimate beneficiary of a share or other securities in a company; applicants declare beneficial owners' names, addresses and nature of interest in addition to the details of directors and shareholders. Yes. This register publishes shareholder and beneficial-owner data, and the record includes it with the ownership chain resolved. The chain is our own work: registers file shareholdings, not the resolved ownership behind them.
How current is the information?

What is CIPA and which laws does it administer?
The Companies and Intellectual Property Authority, a parastatal under Botswana's Ministry of Trade and Industry established by the Companies and Intellectual Property Authority Act, 2011 (Cap 42:13). It administers the Companies Act (CAP 42:01), the Registration of Business Names Act (CAP 42:05), the Industrial Property Act and the Copyright and Neighbouring Rights Act, and is headed by a Registrar General.
Is company registration in Botswana done online?
Yes. Registration applications reach CIPA through its Online Business Registration System (OBRS), which also handles payments. CIPA's public guidance addresses the re-registration of existing companies and business names on the system, along with questions on turnaround times and system security.
What beneficial ownership information does CIPA collect?
In addition to the details of directors and shareholders, applicants provide the names, addresses and details of all beneficial owners of the company and declare the nature of each beneficial owner's interest. The requirement rests on sections 21 and 345 of the Companies (Amendment) Act 2018, aligned with the Financial Intelligence Agency Act, and non-compliance is an offence carrying a fine of up to P200,000 or imprisonment of up to five years.
Is Botswana's register of beneficial ownership public?
CIPA's pages describe the collection of beneficial ownership information and its duty to establish and maintain the register, but do not state the access regime, so no claim is made here about public access to that register.
