About the register

Digital Certifications and Reports System of the National Registry

Known locally as Sistema de Certificaciones e Informes Digitales del Registro Nacional.

Costa Rican companies are recorded at the Registro de Personas Jurídicas of the Registro Nacional, which exists for the inscription and publicity of acts and contracts relating to the existence, validity and representation of different classes of legal persons. It registers sociedades anónimas, sociedades de responsabilidad limitada, collective and limited partnerships, civil societies, foundations, branches of foreign companies and general powers of attorney, and it operates under the Reglamento del Registro de Personas Jurídicas, Decreto Ejecutivo 44648-MJP of 2024.

Every registered entity is identified by a cédula jurídica. The Registro Nacional's official listing of classes and types pairs type 3 class 101 with sociedades anónimas and class 102 with sociedades de responsabilidad limitada, and the registry also assigns cédulas jurídicas to entities created by special law, condominiums and trusts. Online, the registry's digital services platform, the Sistema de Certificaciones e Informes Digitales at rnpdigital.com, provides a consultation system, the purchase of digital certifications and the Ventanilla Digital for electronic document filing.

Beneficial ownership sits outside the public record. Under Ley 9416 of 2016, legal persons domiciled in Costa Rica must provide, through their legal representative, the identification of shareholders and beneficial owners holding substantive participations, and the Banco Central de Costa Rica administers that information in a secure database. The law reserves access to the Ministerio de Hacienda and the Instituto Costarricense sobre Drogas and gives the information confidential character. The cédula jurídica is the identifier the Registro Nacional assigns to legal persons. The registry's official listing of classes and types pairs type 3 class 101 with sociedades anónimas and type 3 class 102 with sociedades de responsabilidad limitada, and cédulas jurídicas are also assigned to entities created by special law, condominiums, trusts and other bodies registered with government institutions.
