About the register

Companies and Intellectual Property Commission

South African companies are registered with the Companies and Intellectual Property Commission (CIPC), which operates under the Companies Act, 2008 (Act No. 71 of 2008). The Commission registers private companies, public companies, non-profit companies, state-owned companies, incorporated companies and external companies, maintains the register of close corporations, and also administers co-operatives and intellectual property rights such as trade marks, patents and designs.

Filing is electronic. The Commission transacts through its eServices platforms and through BizPortal, a platform developed by CIPC to offer company registration and related services in a paperless way, in collaboration with the South African Revenue Service and other agencies; companies registered through it are automatically registered for tax.

Beneficial ownership is filed with the Commission but handled separately from the public company data. Amendments to the Companies Act introduced by the General Laws (Anti-Money Laundering and Combating Terrorism Financing) Amendment Act, 22 of 2022 require corporate entities registered with CIPC, with the exception of co-operatives, to file beneficial ownership declarations, covering the individuals who directly or indirectly ultimately own the company or exercise effective control of it, and since 1 July 2024 companies and close corporations must submit these declarations alongside their annual returns. The Company Records report for South Africa includes the registry extract sourced from the official register.

Who keeps the company register in South Africa?
The Companies and Intellectual Property Commission (CIPC), operating under the Companies Act, 2008 (Act No. 71 of 2008). Beyond companies and close corporations, the Commission also administers co-operatives and intellectual property rights such as trade marks, patents, designs and copyright in films.
What company types does CIPC register?
Private companies, public companies, non-profit companies, state-owned companies, incorporated companies and external companies (the local registrations of foreign companies), alongside the maintenance of the close corporations register and the registration of primary, secondary and tertiary co-operatives.
How are South African company filings made?
Electronically. CIPC operates eServices platforms for transactions such as company registration, name reservations, director amendments and beneficial ownership filings, and BizPortal, a paperless platform it developed in collaboration with the South African Revenue Service and other agencies, through which newly registered companies are automatically registered for tax.
Does CIPC publish shareholder or beneficial-ownership data?
No. The register does not make shareholder or beneficial-owner data public. Beneficial ownership declarations are filed with CIPC under the amendments introduced by the General Laws (Anti-Money Laundering and Combating Terrorism Financing) Amendment Act, 22 of 2022, and since 1 July 2024 must accompany the annual return; the Commission's pages describe this filing obligation and do not describe public access to the filed declarations.
