Official company records for Panama, on demand

Panamanian legal entities are recorded at the Registro Público de Panamá, whose mercantile section for legal persons (Sección de Personas Jurídicas Mercantiles) covers corporations (sociedades anónimas), limited liability companies and foreign companies. A sociedad anónima is constituted by its founders or subscribers under Ley 32 de 1927, and its pacto social or constitutive document is inscribed at the registry. Registered acts include the constitution and its reforms, corporate resolutions and minutes, powers of attorney, and the resignation of directors, officers (dignatarios), attorneys-in-fact and the resident agent.

Searches and documents run through the registry's online services. The Servicios y Consultas Registrales platform provides registral consultations, document validation, model forms, a registral fee calculator and dedicated consultations for resident agents.

Beneficial ownership is handled outside the public record. Ley 129 of 17 March 2020 created the Sistema Privado y Único de Registro de Beneficiarios Finales, administered by the Superintendencia de Sujetos no Financieros. Resident agents, the Panamanian lawyers or law firms designated by entities constituted or registered under Panamanian law, file beneficial-owner details into that system, which is built to guarantee the confidentiality of the information and to assist the competent authorities in preventing money laundering, terrorism financing and proliferation financing.
