About the register

Registry of Corporations and Entities

Known locally as Registro de Corporaciones y Entidades.

Puerto Rico's corporate registry sits with the Department of State of the Government of Puerto Rico. The Registry of Corporations and Entities is administered by the Secretary of State under Act No. 164 of 2009, the General Corporations Act, and records domestic and foreign for-profit corporations, non-profit corporations, professional corporations and limited liability companies, alongside entries for banks, insurance companies, cooperatives and trusts.

Filings run through the Electronic Registry of Corporations and Entities (Registro Electrónico de Corporaciones y Entidades), reachable directly at rcp.estado.pr.gov and through the Department of State's website. Corporations file an annual report by 15 April each year containing entity information, officer details and financial statements.

The Department of State also keeps a separate Registry of Legal Entities, created on 2 June 2022 pursuant to Act No. 55-2020, the Civil Code of Puerto Rico, in which corporations, companies, partnerships, special partnerships, foundations and other associations of persons engaged in civil, mercantile or industrial activities are registered; entities created on or after that date are required to register there as well. The Company Records report for Puerto Rico provides the certificate of incorporation, registry extract and certificate of change of name sourced from the official register.

Can I get additional filing documents?
Every record includes the standard document set for AML and KYB compliance. The official register holds further filings — listed above under "Available separately" — and if you need one beyond the standard set, contact us and we'll arrange it.
Does the record include shareholders and beneficial owners?
The official register does not make shareholder or beneficial-owner data public, so a record cannot include what the register does not publish. The company particulars and controlling parties it does hold are included.
How current is the information?
It is retrieved from the register at the time of purchase, so it reflects the register's current state — not a cached copy.
Do I need a subscription or a contract?

Which body administers the Registry of Corporations and Entities in Puerto Rico?

What entity types appear in the registry?

Yes. What is the Registry of Legal Entities and how does it differ?
It is a separate registry the Department of State created on 2 June 2022 pursuant to Act No. 55-2020, the Civil Code of Puerto Rico, covering corporations, companies, partnerships, special partnerships, foundations and other associations of persons engaged in civil, mercantile or industrial activities. The Registry of Corporations and Entities under Act No. 164 of 2009 remains the corporate registry from which company records are drawn.
