About the register

International Registries

Corporate registration in the Republic of the Marshall Islands (RMI) runs under the Associations Law, Title 52 of the RMI Revised Code, adopted in 1990 and modeled after the corporate laws of the US state of Delaware. It comprises the Business Corporations Act, the Revised Partnership Act, the Limited Partnership Act and the Limited Liability Company Act, and governs all non-resident domestic business entities registered in the RMI.

The Business Corporations Act establishes two Registrars of Corporations. The Registrar responsible for resident domestic and authorized foreign corporations is appointed by the Cabinet. The Registrar responsible for non-resident corporations, partnerships, limited partnerships, limited liability companies, foreign maritime entities and the name index is The Trust Company of the Marshall Islands, Inc. (TCMI), also the statutory registered agent for non-resident entities. International Registries, Inc. (IRI), the name under which the register is presented, is a privately held company that, with its affiliates, provides administrative and technical support to the RMI Maritime and Corporate Registries under an agreement with the RMI dating from 1990, through offices worldwide.

Shareholder and beneficial ownership records are kept by each corporation rather than in a public index: corporations keep an up-to-date record of registered shareholders, use all reasonable efforts to maintain records of beneficial owners, and produce them to the registered agent on audit or on a valid governmental request. Corporations also make an annual attestation to the Registrar that these records are being maintained.
